Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Kotak Tech, Inc., operating as Roominary ("Roominary," "we," "us," or "our"). By accessing or using the Roominary platform, website, mobile applications, or any related services (collectively, the "Services"), you agree to be bound by these Terms.

By using the Services, you represent and warrant that:

  • You are at least 16 years of age;
  • You have read, understood, and agree to be bound by these Terms;
  • You have the legal authority to enter into these Terms on behalf of yourself or the entity you represent; and
  • Your use of the Services will comply with all applicable laws and regulations.

If you do not agree with any part of these Terms, you must immediately stop using the Services.

2. Description of Services

Roominary is an AI-powered platform for interior design ideation and visualization. The Services enable you to:

  • Upload photos of rooms and living spaces for AI-driven analysis;
  • Receive AI-generated suggestions for interior design concepts, color palettes, furniture placement, and styling ideas;
  • Save and organize your design inspirations and generated outputs; and
  • Access subscription-based features that unlock additional tools, higher-resolution outputs, and expanded usage limits.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. Account Registration

3.1 Accurate Information

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate and complete.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials;
  • All activities that occur under your account; and
  • Notifying us immediately at roominary@kotak.tech if you become aware of any unauthorized access to or use of your account.

3.3 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits, bans, or other restrictions is prohibited.

3.4 Account Suspension

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms or engaged in conduct that may harm Roominary, other users, or third parties.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Services to:

  • Upload photos of spaces you own or have permission to photograph;
  • Explore and generate AI-powered design suggestions for personal or professional use;
  • Save, download, and share your designs in accordance with these Terms.

4.2 Prohibited Uses

You agree not to engage in any of the following:

Content Violations

  • Uploading content you do not have the right to use or share;
  • Submitting images containing nudity, explicit material, or obscene content;
  • Uploading content that is harassing, threatening, defamatory, or discriminatory;
  • Infringing upon the intellectual property rights of any third party.

System Abuse

  • Attempting to bypass, disable, or circumvent any security features of the Services;
  • Using bots, scrapers, crawlers, or other automated tools to access or interact with the Services without our express written permission;
  • Reverse engineering, decompiling, or disassembling any part of the Services or underlying technology.

Commercial Abuse

  • Reselling, sublicensing, or redistributing access to the Services;
  • Scraping or bulk-downloading content, AI outputs, or data from the Services for commercial purposes.

Legal Violations

  • Using the Services for any purpose that violates applicable local, state, national, or international laws or regulations.

5. User Content

5.1 Ownership

You retain all ownership rights in the content you upload to the Services ("User Content"). Roominary does not claim ownership of your User Content.

5.2 License to Roominary

By uploading User Content, you grant Roominary a limited, non-exclusive, worldwide, royalty-free license to:

  • Store, transmit, and process your User Content as necessary to provide the Services;
  • Send your User Content to third-party AI service providers for the purpose of generating design suggestions and outputs;
  • Display your User Content within the Services as part of your account experience.

5.3 License Termination

The license granted above terminates when you delete your User Content from the Services or when your account is closed, except to the extent copies are retained in routine backups or as required by law.

5.4 Representations

You represent and warrant that:

  • You own or have obtained all necessary rights, licenses, and permissions to your User Content;
  • Your User Content does not violate the Acceptable Use Policy set forth in Section 4; and
  • Your User Content does not infringe upon the intellectual property, privacy, or other rights of any third party.

6. AI-Generated Content

6.1 Ownership of Outputs

Subject to the terms herein, you own the AI-generated design outputs created from your inputs through the Services ("Generated Content"). You may use Generated Content for both personal and commercial purposes.

6.2 Underlying Technology

Roominary retains all ownership rights in the underlying AI models, algorithms, software, and technology used to produce Generated Content. Nothing in these Terms grants you any rights to the underlying models or technology.

6.3 Legal Considerations

You acknowledge that the legal landscape surrounding the ownership and copyrightability of AI-generated works is an evolving area of law. Roominary makes no representations or guarantees regarding the copyrightability, registrability, or enforceability of Generated Content under any jurisdiction's intellectual property laws.

6.4 No Warranty on Accuracy

AI-generated outputs are provided for inspirational and ideation purposes. Roominary does not warrant the accuracy, completeness, suitability, or feasibility of any Generated Content. You are solely responsible for evaluating and implementing any design ideas.

7. Subscriptions & Payments

7.1 Billing

Paid subscriptions are billed in advance on a monthly or annual basis through our third-party payment processor, Stripe. By subscribing, you authorize Stripe to charge your designated payment method for the applicable fees.

7.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

7.3 Price Changes

We may change subscription prices from time to time. We will provide at least 30 days' advance notice of any price increase. The new price will apply at the start of your next billing cycle following the notice period.

7.4 Refunds

  • Monthly subscriptions: No partial refunds are provided for unused portions of the current billing period.
  • Annual subscriptions: If you cancel within 14 days of your annual renewal, you may request a pro-rata refund for the unused portion of the subscription period.

7.5 Free Trials

If we offer a free trial, your subscription will automatically transition to a paid plan at the end of the trial period unless you cancel before the trial expires. You will be notified before any charges are applied.

7.6 Taxes

All fees are exclusive of applicable taxes (including VAT, sales tax, and other levies). You are responsible for paying any taxes associated with your subscription, unless otherwise stated at checkout.

8. Intellectual Property

8.1 Roominary's Ownership

Roominary and its licensors own all rights, title, and interest in and to the Services, including but not limited to:

  • The Roominary platform, website, and applications;
  • The Roominary name, logo, and brand assets;
  • All software, source code, and proprietary technology;
  • All AI models, training data, and machine learning systems.

8.2 Limited License

Subject to your compliance with these Terms, Roominary grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

8.3 Feedback

If you provide suggestions, ideas, or other feedback about the Services ("Feedback"), you grant Roominary a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Services without any obligation to you.

9. Privacy & Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Services, you acknowledge that your uploaded images and related data may be processed by AI systems, including third-party AI providers, for the purpose of generating design outputs. For more details on how your data is handled during AI processing, please refer to our Privacy Policy.

10. Third-Party Services & Links

The Services integrate with or rely upon the following third-party services:

  • Stripe for payment processing and subscription management;
  • Supabase for authentication and data storage;
  • Google Gemini for AI-powered image analysis and design generation;
  • Google Analytics for website usage analytics (with your consent).

These third-party services are governed by their own terms of service and privacy policies. Roominary is not responsible for the content, practices, or availability of third-party services. Your use of such services is at your own risk.

The Services may also contain links to external websites or resources. We do not endorse and are not responsible for the content or practices of any linked third-party sites.

11. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ROOMINARY DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ANY DEFECTS WILL BE CORRECTED; (C) THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.

Roominary is not a licensed design firm, architectural practice, or construction company. The Services are intended for ideation and inspiration purposes only. AI-generated suggestions do not constitute professional design, engineering, or architectural advice. You should consult qualified professionals before making any structural, electrical, or other modifications to your property.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROOMINARY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE), EVEN IF ROOMINARY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ROOMINARY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO ROOMINARY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Roominary, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms;
  • Your User Content, including any claims that it infringes upon the rights of a third party;
  • Your use of the Services or any Generated Content;
  • Your violation of any applicable law, regulation, or the rights of any third party.

14. Term & Termination

14.1 Term

These Terms remain in full force and effect while you use the Services or maintain an account with Roominary.

14.2 Termination by You

You may terminate your agreement with us at any time by deleting your account through your account settings or by contacting us at roominary@kotak.tech.

14.3 Termination by Roominary

We may suspend or terminate your account and access to the Services at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or posed a risk of harm to Roominary, other users, or third parties.

14.4 Surviving Provisions

The following sections shall survive termination of these Terms: User Content (Section 5), AI-Generated Content (Section 6), Intellectual Property (Section 8), Disclaimers (Section 11), Limitation of Liability (Section 12), Indemnification (Section 13), Dispute Resolution (Section 15), and General Provisions (Section 17).

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.

15.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at roominary@kotak.tech. We will attempt to resolve the dispute within 30 days of receiving your notice.

15.3 Jurisdiction

If a dispute cannot be resolved informally, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction of such courts.

15.4 EU/UK Users

If you are a consumer residing in the European Union or the United Kingdom, you may have additional rights under applicable consumer protection laws, including the right to bring proceedings in your country of residence. Nothing in these Terms shall affect those statutory rights.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. For non-material changes, your continued use of the Services after the updated Terms are posted constitutes your acceptance.

For material changes, we will provide at least 14 days' advance notice via email or a prominent notice within the Services. Material changes may require you to re-accept the updated Terms before continuing to use the Services.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Roominary with respect to the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

17.3 No Waiver

The failure of Roominary to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Roominary.

17.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without Roominary's prior written consent. Roominary may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

17.5 Force Majeure

Roominary shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
